Pathgrid 3D Studio provides 3D asset creation services, including 3D modeling, texturing, animation, and related services for games, virtual reality, augmented reality, web applications, and other digital media platforms.

For each project, we will work with you to establish specific requirements, deliverables, timelines, and costs. These project-specific terms will be documented separately in a project agreement or statement of work, which will incorporate these Terms by reference.

2.3 Changes to Services

We reserve the right to modify or discontinue, temporarily or permanently, the services (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the services.

3. Fees and Payment

3.1 Fees

The fees for our services will be specified in the project agreement or statement of work for each project. Unless otherwise stated, all fees are quoted in British Pounds (GBP).

3.2 Payment Terms

Payment terms will be specified in the project agreement or statement of work. Typically, we require a deposit before beginning work, with the balance due upon completion or according to specified milestones. We reserve the right to suspend services if payments are not received according to the agreed terms.

3.3 Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including sales, use, and value-added taxes associated with your use of our services.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of Pathgrid 3D Studio and its licensors. Our services are protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

4.2 Client Materials

You retain all rights to any materials, information, or intellectual property you provide to us for use in connection with our services ("Client Materials"). You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and modify the Client Materials solely for the purpose of providing our services to you.

4.3 Deliverables

Upon full payment of all applicable fees, we will assign to you all right, title, and interest in and to the deliverables created specifically for you as part of our services, except for:

  • Any third-party materials incorporated into the deliverables;
  • Our pre-existing intellectual property, including methodologies, frameworks, tools, and software;
  • Any general skills, know-how, expertise, or ideas that we developed during the project.

We reserve the right to use and display the deliverables in our portfolio for promotional purposes, unless otherwise agreed in writing.

4.4 Feedback

If you provide us with any feedback or suggestions regarding our services, you hereby assign to us all rights in such feedback and agree that we shall have the right to use such feedback and related information in any manner we deem appropriate.

5. Project Process and Revisions

5.1 Project Timeline

Project timelines will be established in the project agreement or statement of work. We will make reasonable efforts to meet agreed-upon deadlines, but we are not responsible for delays caused by factors beyond our control or by client actions or inactions.

5.2 Revisions

The number of revisions included in a project will be specified in the project agreement or statement of work. Additional revisions beyond the agreed scope will be billed at our standard hourly rates.

5.3 Client Approval

You will be given the opportunity to review and approve deliverables at designated milestones. Once a deliverable has been approved, any further changes will be considered additional revisions and may incur additional fees.

6. Client Responsibilities

6.1 Cooperation

You agree to provide us with the cooperation, materials, and information necessary for us to perform our services in a timely manner. Delays in providing feedback, approvals, or required materials may impact project timelines and costs.

6.2 Accuracy of Information

You are responsible for ensuring that all information and materials you provide to us are accurate, complete, and do not infringe on the intellectual property rights of any third party.

6.3 Use of Deliverables

You are solely responsible for how you use the deliverables we provide. We make no representations or warranties about the suitability of the deliverables for any particular purpose.

7. Term and Termination

7.1 Term

These Terms will remain in effect until terminated by either party as set forth below.

7.2 Termination by You

You may terminate a project at any time by providing written notice to us. If you terminate a project before completion, you will be responsible for payment for all services performed up to the date of termination, plus any non-refundable expenses incurred by us.

7.3 Termination by Us

We may terminate a project or these Terms at any time for cause, including but not limited to:

  • Your breach of these Terms;
  • Non-payment of fees;
  • Your failure to provide necessary materials or cooperation;
  • Your engagement in any conduct that we determine, in our sole discretion, to be harmful to our interests.

7.4 Effect of Termination

Upon termination, all rights and obligations under these Terms will cease, except for those rights and obligations that by their nature should survive termination, such as payment obligations, confidentiality provisions, and limitations of liability.

8. Confidentiality

Each party may disclose confidential information to the other party during the course of their relationship. Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to any third party without the prior written consent of the disclosing party. This obligation shall survive the termination of these Terms.

9. Warranties and Disclaimer

We warrant that our services will be performed in a professional manner consistent with industry standards. We do not warrant that our services will be error-free or uninterrupted, or that the results of our services will meet your specific requirements.

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

IN NO EVENT SHALL Pathgrid 3D STUDIO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN ANY EVENT, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pathgrid 3D Studio and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from (i) your use of our services; (ii) your violation of these Terms; (iii) your violation of any rights of any other person or entity; or (iv) any materials or information you submit or provide for use in connection with our services.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use our services.

These Terms, together with any project agreements or statements of work, constitute the entire agreement between you and Pathgrid 3D Studio regarding your use of our services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms.
